Independent Coach Participation Agreement

This agreement governs a coach's application, profile, marketplace activity, private client communications, and use of Coach Network. It is in addition to the Ethical Standards, Terms, Privacy Policy, and payment terms.

PLEASE READ CAREFULLY. Coaches remain responsible for their own services, scope, agreements, privacy duties, advertising, insurance, and clients. This document contains indemnity and suspension terms.

Independent coach relationship

The coach operates an independent business and is not an employee, agent, partner, franchisee, healthcare provider, or legal representative of Elevated Wellness Me, LLC. The coach controls their lawful services, availability, pricing, taxes, insurance, client relationship, and professional decisions. Network approval, a profile badge, course completion, or software access does not create licensure or expand legal scope.

Qualifications, scope, and referrals

The coach must describe every license, certification, training program, specialty, and verification status accurately and keep it current. The coach must work within the laws of the client's location and the coach's actual credentials and competence.

Unless separately licensed and authorized, a coach must not diagnose; treat disease or injury; practice medicine, dietetics, medical nutrition therapy, physical therapy, or psychotherapy; interpret medical tests or images; prescribe or de-prescribe medication, supplements, therapeutic diets, or exercise; claim to cure or prevent disease; or discourage licensed care. Needs outside scope must be referred to an appropriately licensed professional. Emergencies must be directed to emergency services.

Client agreements and informed consent

Before payment or services, the coach must give each client clear written terms covering the service, role, scope, price, renewal if any, cancellations, communication boundaries, privacy, third-party tools, foreseeable risks, and service-specific consent. Thermography, movement activity, testimonials or image use, and other materially different services require separate consent when appropriate. The coach must retain reliable acceptance records and provide a copy on request.

Privacy, messaging, and security

The coach may access only their assigned client relationships and must use the minimum information reasonably needed for coaching. Network messages are not an emergency or clinical service. The coach must not copy client information into public, community, or unrelated systems; share credentials or private links; or access another coach's clients. Any Coach Ledger sharing requires the client's separate consent.

The coach is responsible for lawful privacy notices, secure devices, authorized users, retention, exports, incident response, and determining whether HIPAA or another privacy law applies to the coach's own practice. The Network does not grant HIPAA status or replace a required business associate agreement.

Payments, advertising, and third parties

The coach must disclose prices, fees, renewals, cancellations, refunds, affiliate compensation, and material connections before purchase. Health, outcome, testimonial, credential, and review claims must be truthful, not misleading, and supported as required by law. The coach remains responsible for social posts and third-party services, including Stripe, Fullscript, calendars, video meetings, AI tools, and external booking systems.

Responsibility, insurance, and indemnity

The coach is responsible for their own services, communications, promises, taxes, records, professional conduct, and violations of law or third-party terms. The coach will maintain insurance reasonably appropriate to the services offered and promptly report a material complaint, privacy incident, credential change, or legal restriction that affects Network participation.

To the fullest extent permitted by law, the coach will defend and indemnify Elevated Wellness Me, LLC and its trade names, owners, officers, employees, and platform contractors from third-party claims, losses, and reasonable costs arising from the coach's services, misconduct, inaccurate statements, privacy or intellectual-property violation, or breach of this agreement. This provision does not require indemnity for the protected party's gross negligence, reckless or intentional misconduct, fraud, or liability that cannot lawfully be shifted.

Suspension, termination, and electronic agreement

The Network may request documentation, limit a profile, preserve records, suspend messaging, withhold publication, or terminate access for safety, privacy, payment, legal, credential, or ethical concerns. The coach may cancel renewal through billing controls; obligations concerning confidentiality, intellectual property, payments, disputes, and responsibility survive as applicable.

By typing a full legal name and submitting an application, the coach confirms authority to enter this agreement, that the application is accurate, and that the typed name is intended as an electronic signature to the recorded document version and time.
